(“FM&Co.”) acted as exclusive financial advisor to Officine Meccaniche Giovanni Cerutti SpA (“Gruppo Cerutti”), an Italy-based global manufacturer of rotogravure presses for publication, packaging and specialties printing, converting equipment, and flexographic presses for newspaper printing, on its sale of North American Cerutti Corporation (“Zerand”).
Zerand is a Wisconsin-based manufacturer of high-speed platen and rotary die-cutting machinery for the print and converting industry. With over 90% market share, Zerand is a leader for platen die-cutters for the folding carton market. Today, hundreds of installations around the world demonstrate Zerand’s global leadership in web systems and solutions. The US generates most of the company’s sales, and Mexico is the second most important market, both for spare parts and retrofits of existing lines and new equipment.
FM&Co.’s advisory services to Gruppo Cerutti included contacting and meeting with potential buyers as well as valuing, structuring, and negotiating the terms and conditions of the agreement with Barry-Wehmiller.
